Key Principle

A listed company does not breach its continuous disclosure obligation under s 674(2) of the Corporations Act 2001 (Cth) (or commit misleading/deceptive conduct) merely by reaffirming prospectus forecasts where, on the evidence, it had no information requiring disclosure at the relevant times; absent a contravention by the company, derivative director-duty claims under s 180 also fail.
