Key Principle

The proper plaintiff for a wrong done to a company or association is the body itself (the rule in Foss v Harbottle), but a member may sue where the act is ultra vires, is a fraud on the minority by wrongdoers in control, requires a special majority not obtained, or invades the member's personal rights.
