The Court of Final Appeal restored convictions for conspiracy to defraud where senior executives of a listed company deliberately concealed the involvement of a connected party in a placement/sub-placement arrangement so as to avoid the disclosure and approval requirements applicable to connected transactions under the Stock Exchange Listing Rules.
