Key Principle
In sanctioning a scheme of arrangement the court must be satisfied that the explanatory circular gave creditors/members all information reasonably necessary to enable them to decide how to vote, and that the scheme is one an intelligent and honest member of the class, acting in his own interest, could reasonably approve.
