Key Principle

On the proper construction of a 'subsuming' clause in a pre-construction services agreement (PCSA), liabilities incurred during the PCSA period can survive the later execution of a JCT building contract even though not expressly carried into it, and a contractor's earlier PCSA default may defeat its later claims for extension of time and loss and expense.
