Mills v Mills
[1938] HCA 4; (1938) 60 CLR 150
Key Principle
A power conferred on directors must be exercised bona fide for the purpose for which it was conferred and not to secure a private advantage or for a purpose foreign to that power; an incidental benefit to a director does not vitiate a resolution whose substantial purpose benefits the company.
