Key Principle

In a collective (en bloc) sale under the Land Titles (Strata) Act, the members of a collective sale committee owe fiduciary duties to all the subsidiary proprietors (including the dissenting minority) to act in good faith and to obtain the best price reasonably obtainable, and a sale tainted by a conflict of interest or breach of that duty of good faith will not be approved.
