Section 409 of the Penal Code (aggravated criminal breach of trust committed 'in the way of his business as ... an agent') does not extend to company directors, governing-board members or key officers of charities and societies acting as such; their criminal breach of trust falls under section 406, with the result that the longstanding contrary interpretation in Tay Choo Wah was wrong.
