Key Principle

The common law derivative action is not confined to a shareholder suing for a wrong done to the company in which it directly holds shares; a shareholder of a parent company may bring a multiple (double/multiple) derivative action on behalf of a subsidiary where the wrongdoer controls the whole corporate chain and prevents the company itself from suing.
