Key Principle

Where a shareholders' agreement confers on a shareholder a contractual right to nominate or appoint directors, the board is obliged to give effect to that nomination and may reject the nominee only where it can show the nominee is obviously unfit for office or that the appointment would be obviously injurious to the company.
