Key Principle

A director or employee who, in breach of his fiduciary duty of loyalty, diverts to himself or a new vehicle a maturing business opportunity belonging to the company is liable to account for the resulting profits, and third parties who knowingly assist or participate in the breach incur accessory liability in equity and in tort.
