An equitable duty of confidence arises whenever a person receives information he knows or ought to know is reasonably to be regarded as confidential, and a recipient (here a bank) who misuses such information disclosed in the context of a proposed transaction to acquire the target for its own account is liable in damages for breach of confidence.
