Key Principle

Where a dissolved company's land vests in the Crown Estate Commissioners by escheat following disclaimer of bona vacantia, that escheat does not extinguish a pre-existing equitable interest (here a proprietary estoppel in favour of the shareholders), and the court may make a vesting order under s 44(ii)(c) of the Trustee Act 1925 (or s 181 LPA 1925) to give effect to that interest.
