Key Principle

Interim relief that alters the management of a company (such as removing a director and reconstituting the board) is available as ancillary to an unfair prejudice petition under s.994 of the Companies Act 2006, but, being exceptional and interventionist, it requires a 'high degree of assurance' that the petitioner will establish unfair prejudice at trial in addition to the usual balance-of-convenience considerations.
