Key Principle

An alleged oral joint-venture/agency agreement to build and share in an investment fund will not be enforced where the claimant cannot prove the parties intended to create legal relations on certain terms; and a fallback unjust enrichment / quantum meruit claim requires proof that the defendant was enriched at the claimant's expense by freely accepted services rather than work undertaken speculatively in the hope of a future arrangement.
