Key Principle

On the dissolution of a company that owned freehold land, the freehold passes to the Crown as bona vacantia but does not determine so as to give rise to escheat; the court may, applying the common law of England as the lex situs, make a vesting order under s 44(ii)(c) of the Trustee Act 1925 in favour of those beneficially entitled.
