Key Principle

Where time is of the essence for a seller's delivery obligations under a supply contract, the buyer is entitled to terminate for the seller's failure to meet the agreed delivery schedule, and the seller cannot resist termination merely by showing some goods were available where it failed to tender or notify them in accordance with the contract.
