Following BTI 2014 LLC v Sequana SA, where a company faces a liability of such magnitude that its solvency depends on successfully resisting that liability, the directors' creditor-regarding duty arises if they know, or ought to know, that there is at least a real prospect of the challenge to the liability failing.
