Where sophisticated commercial parties of equal bargaining power agree non-reliance and basis-clause terms (e.g. acknowledging no representation or advice has been relied upon), those terms give rise to a binding contractual estoppel that defeats claims in misrepresentation, breach of duty and negligent advice, regardless of the actual state of affairs.
