On an unfair prejudice petition under section 994 of the Companies Act 2006 the conduct complained of must relate to the conduct of the company's affairs; personal conduct of a shareholder is relevant only where it has enabled or given rise to unfairly prejudicial conduct of the company's affairs, and petitions should be confined within manageable bounds.
