Key Principle
An agreement between two employers not to employ one another's (former) staff is subject to the restraint of trade doctrine and is unenforceable where it is wider than reasonably necessary to protect a legitimate interest; an employer has no legitimate interest in protecting itself against the mere loss of employees to a competitor.
