Where a share purchaser's payment obligation under a put option is expressed as 'subject to' the seller's delivery of transfer documents, delivery and payment are concurrent conditions (a simultaneous exchange) rather than sequential, so the payer cannot avoid liability by relying on non-delivery if the seller was ready and willing to perform.
