Key Principle

Whether a solicitor-client agreement is a contentious business agreement under the Solicitors Act 1974 is a question of substance not form; the essence of a CBA is certainty, so an agreement that satisfies the statutory criteria is a CBA whether or not the parties label it as such, and conversely a label cannot make a CBA of an agreement that lacks the requisite certainty.
