JurisdictionUnited Kingdom
CourtHouse of Lords
Year1997
StatusBinding authority

Key Principle

A unilateral contractual notice (such as a break notice) is to be construed objectively as it would be understood by a reasonable recipient with knowledge of the relevant context, so that a notice containing an error is nonetheless valid if a reasonable recipient would be left in no reasonable doubt as to how and when it was intended to operate.
