Key Principle

Where services are rendered in the expectation of obtaining a future contract and no contract is concluded, a quantum meruit will not be awarded merely because the recipient derived a benefit; recovery in unjust enrichment requires that the claimant was not acting purely speculatively at its own risk and that the recipient ought to make payment, and it fails where the claimant gave no prior indication it intended to charge and was not the effective cause of the transaction.
