Key Principle

On an application for interim relief ancillary to an unfair prejudice petition the court applies the American Cyanamid framework (serious issue to be tried and balance of convenience), but it will be reluctant to grant intrusive mandatory relief that effectively imposes a director on, or hands control of, a company pending trial, particularly where adequate undertakings as to the company's future conduct can be given.
