Where a company's articles make it impracticable to hold a general meeting because minority members/directors deliberately absent themselves to prevent a quorum, the court has jurisdiction (then s.135 Companies Act 1948, now s.306 CA 2006) to order a meeting and to direct that one member present in person or by proxy shall constitute a quorum.
