To have standing to present an unfair prejudice petition under section 994 of the Companies Act 2006, a petitioner must be a member of the company entered on the register of members (or a person to whom shares have been validly transferred or transmitted); informal or asserted beneficial ownership without registration or a validly executed instrument of transfer is insufficient.
