Key Principle

An English-incorporated company is plainly 'liable to be wound up' and so satisfies the only jurisdictional requirement for a Part 26 scheme of arrangement; on a convening application the court will order a single class meeting where, absent the scheme, there is a sufficiently high likelihood of formal insolvency and overwhelming creditor and shareholder support for the compromise.
