Key Principle

On a s.994 unfair-prejudice petition the court has a wide discretion as to remedy under s.996, which is not confined to a share buy-out and may in principle include relief directed at remedying loss suffered by the company itself; but a petitioner must establish prejudice to his interests as a member, and merely contingent prejudice that never materialised will not suffice.
