Key Principle

A company's persistent failure to pay dividends in breach of express rights attaching to a class of shares, coupled with the directors' failure to adopt and adhere to a proper dividend policy and to act fairly between shareholders, can amount to unfairly prejudicial conduct of the company's affairs entitling the minority shareholder to relief under section 994 of the Companies Act 2006.
