Schofield v Jones

Key Principle
Under s.306 Companies Act 2006 the court will order a general meeting to be held with one member constituting a quorum where a minority shareholder's refusal or failure to attend is being used to frustrate the will of the majority, provided no genuine class right or substantive protection of the minority is thereby overridden.
