Key Principle
To succeed in deceit and unlawful means conspiracy arising out of a share sale, a purchaser must prove that the pleaded representations were actually made, were false and dishonestly made, and were relied upon; reliance on negotiated contractual warranties and agreed financial figures, together with non-reliance provisions in the sale agreement, will defeat an alleged reliance on extra-contractual implied representations.
