Key Principle

A carrier who delivers cargo without production of the original bills of lading does so at its own risk and is liable to the lawful holder for misdelivery (breach of contract and conversion); delivery against a letter of indemnity to a person not entitled under the bill does not render the bill 'spent', and parties who dishonestly procure such misdelivery may be liable in the tort of unlawful means conspiracy.
